1. GENERAL TERMS

These terms and conditions, including the General Terms and Special Terms, along with any agreements accepted or executed by you (“you”/ “your”/ “User”/ “Customer”), collectively referred to as “Terms,” govern your interaction with the mobile application (“do N key App”) or the website available at https://donkeydeliveries.com/ and www.donkey.delivery (together referred to as the “Platform”).

Whether accessed through a computer, mobile phone, or any other device (“Device”), these Terms outline the rules for using the Platform and availing the services provided by do N key Technologies Private Limited (“do N key”/ “Company”/ “us”/ “we”/ “our”).

do N key provides a digital platform that connects users with services operated by third-party service providers, referred to as (“Service Providers” and "Riders"). These terms define the relationship between you and the Company in facilitating these services.

By accessing the Platform or using the services, you confirm that you have read, understood, and agree to these Terms without any limitation. If you do not agree with the Terms, please refrain from accessing the Platform or using the services.

These Terms override any prior agreements or arrangements with you. Use of the Platform implies unconditional acceptance of these Terms and the Privacy Policy (which is incorporated herein by reference). The Company reserves the right to modify these Terms at its sole discretion, with updates posted directly on the Platform from time to time.

1. SERVICES

do N key provides the following services (“Services”) through its Platform:

i.Bike Taxi Services

Facilitation of transportation services through two-wheelers operated by third-party Riders (referred to as "Riders").

ii.Package Delivery Services

Coordination of package pick-up and drop-off services through Drivers for the transportation of goods and parcels.

iii.Platform Support Services

Additional support services, including payment facilitation and other operational assistance offered by do N key.

The services are offered and managed by third-party Drivers, while do N key serves as the technology provider facilitating these operations.

PLEASE NOTE

i.The Company itself does not operate or own the vehicles used for transportation or delivery services.

ii.Riders/Service Providers independently operate their business and maintain direct responsibility for their service quality, pricing, and vehicle conditions.

2.User Responsibilities, Representations, and Account Management

User Representations and Warranties

i. By using the do N key platform, you represent and confirm the following:

• You are at least 18 years of age and legally capable of entering into binding agreements.

• You will not allow minors under 18 years to use the Services unless accompanied and supervised by you. In such cases, you assume full responsibility for their safety and actions.

• You agree to comply with all applicable laws and these Terms while accessing the Platform or availing of its Services.

• You have not been involved in insolvency proceedings or been adjudicated insolvent by any authority.

ii.If it comes to the Company’s attention that you have misrepresented your age or eligibility, your account may be deactivated without prior notice, and you will not be entitled to raise any claims, including insurance-related ones.

3.Information Accuracy and Privacy

i.You agree to provide accurate and current information during registration and while using the Services. This includes contact details, payment information, and any other required documents.

ii.You authorize do N key, directly or through third-party partners, to verify your information as per our Privacy Policy. Failure to provide accurate or verifiable information may result in suspension or termination of access to the Services.

4.Account Registration and Security

Account Creation

i.You must register on the do N key platform to create a user account (“Your Account”). The account credentials, including your username and password, must be kept confidential.

ii.Your Account is non-transferable and solely for your personal use.

Account Responsibility

i.You are solely responsible for all activities occurring under Your Account, including securing access credentials. Unauthorized use of Your Account must be reported immediately.

ii. do N key will not be liable for any breach of security or unauthorized use of Your Account resulting from negligence on your part.

5.Platform and Service Facilitation

Service Request and Operations

i.The do N key platform facilitates bike taxi and package delivery services provided by independent service providers (“Riders”).

ii.Upon receiving your booking request, the platform forwards it to Riders, who may accept or reject the request at their discretion.

iii.do N key does not guarantee the availability of Riders in your area or that a Rider who has accepted a booking will arrive at the pickup location.

iv.You will receive the Rider’s details upon booking confirmation. Riders are solely responsible for fulfilling the transportation and delivery services.

Disclaimer of Responsibility

i.do N key is a technology platform provider and does not directly provide transportation or delivery services. The services are rendered by independent third-party service providers, who are not employees of the Company.

ii.The Company is not responsible for:

• Any delay, cancellation, or non-performance by the Rider.

• Errors in your Service Request due to incorrect information or app usage.

6.DISCLAIMER

• The Company provides the platform as a discovery tool and does not control or take responsibility for the services offered by Riders, including safety, quality, or timeliness.

• Riders are solely responsible for the services provided to users. Any disputes regarding ride fares, routes, or service quality must be resolved between the user and the Rider directly.

For any concerns, please contact the service provider or Rider associated with your request.

Dispute Resolution and Feedback

i.In the event of disputes related to fares or service quality, you may report the issue through the platform or contact our support team.

ii.Genuine disputes will be reviewed, and appropriate action will be taken against the service provider, if necessary.

Support and Monitoring

i.Calls between users and Riders may be monitored or recorded to improve customer support and resolve complaints.

ii.For any assistance, you may reach out to our customer support team via the app or other contact channels.

7. PLATFORM USAGE AND ACCOUNT MANAGEMENT

To access the services provided through the do N key platform, you must create an account ("Your Account") by completing the registration process with accurate and up-to-date information. As the account holder, you are solely responsible for safeguarding your login credentials, such as username and password.

• Confidentiality: Your login details must remain confidential. The Company will not be held liable for any loss or unauthorized activities in Your Account, whether they occur with or without your knowledge.

• Non-Transferability: Your Account is personal and cannot be transferred, assigned, or sold to any other individual or entity.

• Security Measures: You agree to implement reasonable security measures, such as using strong passwords and ensuring access is restricted to authorized individuals only. Notify the Company immediately if you suspect your login credentials have been compromised.

• Unauthorized Use: Any unauthorized use of Your Account must be reported to the Company promptly

8. BOOKING PROCESS AND SERVICE PROVIDER'S ROLE

The do N key platform acts as a facilitator, connecting you with Riders who independently provide bike taxi and delivery services. The service provider manages the Riders to ensure smooth operations.

• Booking Requests: When you submit a service request via the platform, it will be forwarded to the Rider (via a GPS-GPRS-enabled app).

• Acceptance of RequestsRiders, as independent service providers, may accept or decline service requests at their discretion. You will be notified with Rider details, including their name, contact number, and vehicle registration, once a request is accepted.

• Availability of RidersWhile the platform endeavors to match your request with available Riders, the Company is not liable for instances where a Rider is unavailable or unable to fulfil the request.

• Independent ServicesThe Company does not directly provide bike taxi or delivery services. These services are performed by Riders, who operate as third-party contractors under the management of the service provider

9. EXPECTED USER CONDUCT

Users of the do N key platform must adhere to the following guidelines to ensure a positive experience for all parties involved:

• Respect and Compliance: Treat Riders with respect, avoid damaging their vehicles, and comply with all applicable laws during the use of services.

• Prohibited Activities: Avoid engaging in any of the following:

• Harassment, abusive behavior, or threats toward Riders or third parties.

• Unauthorized use, transfer, or resale of Your Account.

• Fraudulent activities, such as creating duplicate accounts or falsifying information.

• Uploading content that is harmful, offensive, or violates intellectual property laws.

• Impersonation or spreading misinformation.

• Misuse of the platform, including attempts to disrupt its operation or compromise its security.

• Consequences of Misconduct: Violation of these rules may result in immediate termination of platform access and services.

10. ROLE OF THE DO N KEY PLATFORM

The do N key platform serves as a digital intermediary, facilitating connections between users and Riders for transportation and delivery services.

• Non-Carrier Disclaimer: The Company is not a transportation carrier or delivery service provider. All services are carried out by independent Riders under the service provider's management.

• Limited Liability: The Company is not responsible for the actions or quality of services provided by Riders. Any disputes or service-related issues are to be resolved directly with the Rider.

11. YOUR ACCOUNTABILITY

By using the do N key platform, you agree to:

• Use the platform solely for lawful and personal purposes.

• Keep your account credentials secure and inform the Company of any unauthorized use.

• Not misuse or damage the platform or disrupt its operations.

12. COMMUNICATION AND NOTIFICATIONS

You agree that do N key (either directly or indirectly through its service providers or authorized third parties) may communicate with you regarding the Platform or the Services through various channels, including electronic notifications (e.g., push notifications), phone calls, WhatsApp, emails, or other written forms.

Notification Timelines

• Any electronic communication sent to you (e.g., email, SMS, WhatsApp) will be deemed received within 24 hours of dispatch.

• Postal mail communications will be considered delivered 3 business days after dispatch.

13. Consent for Communication

As a registered customer of the Platform, you provide explicit consent for do N key and its authorized agents or service providers to contact you through the following means:

• The mobile or landline number you provide or any number we reasonably believe can reach you.

• Your registered email address or any email address associated with your account.

• Automated dialers, pre-recorded messages, or artificial voice communication systems.

Communication Accuracy

The accuracy and timely delivery of communications depend on several factors, including network reliability. do N key is not liable for any non-delivery, delays, or distortions of communication.

14. PAYMENT FOR SERVICES

Modes of Payment

You can pay for the Services through:

i. Online Payment Gateway provided on the Platform.

ii. Cash Payment directly to the Riders.

The Company facilitates these payments on behalf of the Riders. Once collected, the payments are transferred to the Riders’ registered bank accounts.

Charges and Fee Updates

• Service charges, including cancellation fees (if applicable), are displayed on the Platform and may be updated periodically at the sole discretion of the Company.

• It is your responsibility to stay informed about the latest rates and charges for the Services.

Payment Obligations

• You agree to pay for all Services used, either online or in cash. In cases where online payment fails or is unavailable, cash payments must be made directly to the Rider.

• do N key is not responsible for the settlement of cash payments made to Riders.

UPI Validation

To facilitate UPI payments, bank account validation and Virtual Payment Address (VPA) validation may be conducted via third-party providers. By using this option, you consent to such validation procedures.

Refund Policy

• Payments made are strictly non-refundable.

• Upon completing a trip, an invoice will be sent to your registered email address for your reference.

By continuing to use the Platform, you agree to these terms, ensuring smooth communication and payment processes for your do N key services

15. DISCLAIMER FOR PURCHASES

do N key operates as a platform provider, connecting customers with service providers for various services such as bike taxi, delivery, and more. The Company does not sell or directly manage the purchase of items or services but facilitates the connection between customers and service providers.

Open Seal Purchases

• Customers are advised not to accept open-seal items under any circumstances.

• If you choose to purchase an item based on a specific request, you do so at your own risk, and the Company is not responsible for any issues or disputes arising from such transactions.

Dispute Resolution

• For any disputes regarding the quality, condition, or other issues with the purchased items, you are required to deal directly with the service provider involved in the transaction.

• The Company will not mediate or take responsibility for disputes between the customer and the service provider.

16. DISCLAIMERS

General Information

The information and recommendations provided to you on or through the do N key platform are for general informational purposes only and do not constitute professional advice. The platform and its contents are offered as-is, and do N key, as a platform provider, does not guarantee that they are free of errors, defects, malware, or viruses.

Platform Accuracy and Continuity

While we strive to keep the platform up-to-date and ensure uninterrupted access, there may be delays, errors, or interruptions. do N key assumes no liability for monetary or other damages incurred due to platform delays, failures, or interruptions.

Use Beyond India

If you access the platform from outside India, you do so at your own risk. It is your responsibility to comply with local laws, and do N key will not be liable for any non-compliance with such regulations.

Refund Policy

• Payments made are strictly non-refundable.

• External events like natural disasters, civil unrest, or power outages.

• Governmental restrictions or regulatory rulings.

• Any other factors beyond the control of do N key.

17. Service Quality

The quality of transportation or delivery services is solely the responsibility of the riders (service providers) who fulfill the requested services. do N key, as a platform provider, does not assume liability for the quality of services. However, complaints regarding rider services can be submitted to us via email as notified on the platform.

No Warranties or Guarantees

do N key makes no representations, warranties, or guarantees regarding:

• Reliability, timeliness, or quality of the platform or services.

• Compatibility or error-free operation of the platform with other systems.

• The fulfillment of your requirements or expectations.

• Correction of errors or defects on the platform.

• Protection against harmful components like viruses.

The platform is provided strictly on an "as-is" basis. All implied warranties, including merchantability or fitness for a particular purpose, are disclaimed to the maximum extent allowed by law.

18. User Responsibility

You acknowledge and agree that the use of the platform and services is at your own risk. do N key is not liable for any issues arising from your use of the platform, and you agree to bear all associated risks.

19. INTELLECTUAL PROPERTY RIGHTS

Ownership of Platform and Content

do N key is the sole owner and lawful licensee of all rights related to the Platform and its contents, including design, layout, text, images, graphics, sounds, videos, and any other digital media. The Platform embodies trade secrets and Intellectual Property Rights protected under global copyright and other applicable laws. All ownership and Intellectual Property Rights in the Platform and its content are retained by do N key, except for third-party content and external links available on the Platform.

20. Definition of Intellectual Property Rights

The term “Intellectual Property Rights” includes:

• Patent rights and utility models.

• Copyrights, database rights, and moral rights.

• Trademarks, trade names, domain names, and trade dress with associated goodwill.

• Trade secrets.

• Industrial design rights.

For each of these, any registrations, applications, renewals, and extensions in any jurisdiction are included.

Reserved Rights

All rights not expressly granted under these Terms or claimed by do N key are reserved. The information provided on the Platform is for general use, and users are solely responsible for their usage.

Accuracy and Liability

do N key does not endorse the accuracy or reliability of any information, advertisements, or external content linked or displayed through the Platform. Users are advised to independently verify all information. Unauthorized reproduction, modification, or publication of do N key's trademarks or service marks is strictly prohibited.

Platform License for Personal Use

Subject to compliance with these Terms, do N key grants users a limited, non-exclusive, non-transferable license to download and use the Platform on a single mobile device for personal purposes.

21. CUSTOMER DATA AND AGGREGATED STATISTICS

Customer Data Ownership

All rights, title, and interest in customer information, including data input into the Platform by riders, delivery partners, or users, remain with the respective customer. Customers grant do N key a limited license to use this data solely for operating, maintaining, and improving the Platform.

Aggregated Data Usage

do N key may use anonymized, aggregated data from customers and riders for statistical analysis, service improvement, and compliance with legal obligations. This aggregated data will not identify individual users.

22. PROHIBITED ACTIONS

Users are prohibited from:

i. Licensing, sublicensing, selling, or commercially exploiting the Platform.

ii. Modifying, reverse-engineering, or creating derivative works of the Platform.

iii. Copying features, designs, or graphics to build competing services.

iv. Using automated tools like bots, crawlers, or scripts that could disrupt Platform performance.

23. THIRD-PARTY LINKS

Interactions with Third Parties

While using the Platform, users may interact with third-party service providers or advertisements linked through the Platform. Such interactions, including purchases or promotions, are at the user’s discretion and risk. do N key does not control third-party websites and advises users to review their terms and privacy policies.

Cookie and Data Policies

Third-party websites linked through the Platform may use cookies, collect data, or solicit personal information. Users should familiarize themselves with their terms and policies before accessing these websites.

24. SAFETY AND EMERGENCY SUPPORT

SOS Feature on the do N key Platform

• do N key offers an Emergency SOS feature on the app to ensure customer safety. By tapping the “Red call” button, customers can directly connect to the police helpline or call for an ambulance during emergencies. This feature is designed to provide immediate assistance in critical situations.

Responsible Usage of SOS

• Customers must use the Emergency SOS feature only for genuine emergencies. Misuse of this feature may lead to strict actions as per do N key’s internal policies or applicable laws.

25. TERMS AND TERMINATION OF SERVICES

Contract Duration

• These terms constitute the agreement between do N key (the platform provider) and the customer. The agreement is valid for an indefinite period. Customers may terminate the agreement at any time by deleting their account on the platform.

Grounds for Termination

• do N key reserves the right to terminate your access to the platform and/or services with immediate effect under the following circumstances:

• If you violate any term of this agreement.

• If you misuse the platform or its services.

• If there is suspicion of fraudulent use of the account.

Notice and Legal Rights

• While do N key is not obligated to provide advance notice for termination, customers will be notified post-termination in accordance with the terms of service.

• Neither party is responsible for delays or failures in service caused by events beyond their control, such as natural disasters, strikes, or other acts of God.

Fraud and Misuse

• In addition to suspending or terminating accounts for violations, do N key reserves the right to pursue legal action against any individual or entity found to be engaging in fraud, misuse, or activities harmful to the platform, its service providers, riders, or other users.

Enforcement of Terms

• Failure by do N key to enforce compliance with these terms does not constitute a waiver of its rights. The company reserves the right to enforce these terms at any point in time.

26. INDEMNITY AND LIMITATION OF LIABILITY

Indemnification by Riders and Service Providers

i. As a rider or service provider utilizing the do N key platform, you agree to defend, indemnify, and hold harmless do N key, its affiliates, officers, directors, agents, and employees from any claims, losses, liabilities, damages, expenses, or costs (including legal fees and court costs) arising from:

• Breach or alleged breach of these Terms.

• Misuse of the platform or its services.

• Claims from third parties related to your use of the platform or services.

Responsibility for Compensation

• In case of any valid claim by a user, the service provider (who directly controls the business operations) will be solely responsible for compensating the user. The platform, do N key, acts only as a facilitator and bears no direct liability for such claims.

27. Rights to Defense and Cooperation

• do N key reserves the right to assume control of the defense in any case where indemnification is required, including settlement decisions. You are required to cooperate fully in such cases. do N key will notify you of any third-party claims that may require your involvement in the defense or settlement process.

Limitation of Liability for the Platform

• As a platform provider, do N key’s maximum liability in any dispute, claim, or case arising out of or in connection with these Terms or the services rendered is strictly limited to INR 100/-.

Exclusion of Certain Damages

• To the fullest extent permitted by applicable law, do N key will not be held liable for:

• Indirect, punitive, incidental, special, or consequential damages.

• Damages resulting from contract, tort, negligence, or strict liability, even if previously advised of such possibilities.

28. LEGAL FRAMEWORK AND CUSTOMER SUPPORT GUIDELINES

Governing Law and Jurisdiction

• These Terms are governed and interpreted under the laws of the Republic of India.

• All disputes will fall under the exclusive jurisdiction of courts in Chennai, India, unless otherwise stated in the Terms.

Dispute Resolution

• Any dispute arising from these Terms will first be addressed amicably between the parties within 15 days of initiation. If unresolved, the dispute will be referred to arbitration under the Arbitration and Conciliation Act, 1996.

• Arbitration will be conducted by a single arbitrator mutually chosen by you and do N key.

• The proceedings will be conducted in English, with the arbitration seat in Chennai, India.

• The decision of the arbitral tribunal will be final and binding.

Assignment

• You cannot assign rights under these Terms without prior written consent from do N key.

Severability

• If any provision is deemed invalid or unenforceable under Indian law, it will be severed, and the remaining provisions will remain valid and enforceable.

Updates to Terms

• do N key reserves the right to amend these Terms at its discretion. Changes deemed material will be communicated via the platform, but users are encouraged to review the Terms regularly. Continued use of the platform implies acceptance of updated Terms.

Notices

• Notices may be given through general announcements on the platform, emails to your registered address, or physical mail to the address on record.

29. CUSTOMER CARE AND GRIEVANCE REDRESSAL

Reporting Concerns

i. Issues or feedback regarding the platform or services can be reported via:

ii. Specific concerns regarding a service request or rider must be reported within 24 hours of service completion. For criminal complaints, reports must be submitted within 72 hours of the event.

Special Terms for Certain Services

In addition to the General Terms, specific services may have additional terms applicable. Ensure compliance with all agreements and documents accepted during registration or use of these services.

30. TERMS FOR PACKAGE DELIVERY SERVICES

About Package Services

i. You can initiate transactions on the do N key platform to send packages (“Package(s)”) through Riders to a specified location. do N key acts solely as a technology platform facilitating these transactions, with the services provided directly by the Riders. The responsibility for service quality or any deficiency rests with the Rider, not the do N key platform.

ii. do N key does not hold liability for any damage, loss, or deficiencies related to the Package(s).

Prohibited Items for Package Delivery

i. You agree not to request the delivery of Package(s) containing:

• Items requiring special transportation permits or licenses under applicable laws.

• Illegal, hazardous, dangerous, or restricted items.

• Any materials listed as prohibited, including but not limited to:

• Explosives, firearms, ammunition, or hazardous chemicals.

• Precious metals, currency, securities, or negotiable instruments.

• Contraband, intoxicants, or narcotics.

• Live animals, plants, or biomedical waste.

• Pornographic materials or any other prohibited items.

ii. You are solely responsible for ensuring that the contents of the Package(s) comply with applicable laws and are safe for transit.

Responsibilities During Transit

i. The Rider will securely handle the Package(s) from pickup to delivery. In cases where delivery cannot be completed at the specified address, the Rider will attempt to return the Package(s) to the return address provided by the customer. The Company will not be liable for any damages incurred during the return process.

ii. The Company does not verify the contents of the Package(s) being transported. If it is discovered that illegal or dangerous substances are being transported, do N key reserves the right to report the matter to government authorities and take appropriate legal action.

User Obligations

i. By initiating a Package Service, you confirm:

• You are fully aware of the contents of the Package(s).

• The contents comply with all legal transportation limits under applicable laws.

ii. You agree not to hand over Package(s) exceeding INR 2,000 in value. You will bear full responsibility for any loss or damage, including theft, that may occur during transit.

iii. If a Rider becomes aware of any illegal activity related to a Package, they may report the issue to the Company or law enforcement authorities.

Fees and Payment

• Service fees for Package Services will be displayed on the platform and must be paid upon completion of the delivery. Initiating a new service will require payment for any pending transactions.

About Insurance for Drivers and Customers

i. The do N key platform facilitates the availability of an insurance policy for users availing bike transportation services. Information about this insurance policy is accessible on the platform once the services are utilized.

ii. do N key is not an insurance provider and does not engage in the insurance business. The insurance coverage is facilitated under group travel insurance policies provided by licensed insurance companies, with do N key acting only as the group policy administrator.

No Guarantee on Insurance Benefits

i. do N key does not guarantee or make any promises regarding the insurance policy or the services provided by the insurance companies. This includes but is not limited to:

• Insurance coverage.

• Claim eligibility or processing.

• Settlement procedures.

ii. Details about the insurance policy, including its terms and conditions, are available on the concerned insurer’s website. A third-party link to this website is provided on the do N key platform for your convenience.

Claims and Servicing of Insurance Policies

• Any claims, disputes, or servicing related to the insurance policies are strictly between the customer and the insurer. do N key is not responsible for:

• Actions or decisions made by the insurer.

• If you have any specific queries about bike pillion accidental insurance or other coverage details, please contact the service provider or rider directly for further clarification.

Important Notice

do N key reserves the right to change terms and conditions to maintain the smooth operation of the business and platform.

If you are taking an offline ride directly with the rider/driver, do N key Deliveries and the Service Provider are not responsible for your safety or the product. This is because the transaction is occurring outside our business framework.

This document is an electronic record in accordance with the Information Technology Act, 2000, and related rules. It complies with the provisions for electronic records in statutes as amended by the Information Technology Act, 2000.

1. GENERAL TERMS

These terms and conditions, along with any other agreements accepted by you (“you/your” or “User”), govern your access, use, or interaction with the mobile application (“do N key App”), website, or any associated platform provided by do N key Deliveries Private Limited (“do N key”/ “Company” / “we”/ “our”), regardless of the device used.

The ride and delivery services are offered by independent third-party vehicle operators, service providers, or Drivers using the platform to connect with users (referred to as "Drivers").

By using this platform, you confirm that you have read, understood, and agreed to these terms, without limitation or qualification. If you disagree with any of these terms, you must stop using the platform immediately.

These terms supersede all prior agreements with you and apply unconditionally alongside the Privacy Policy, which is incorporated herein by reference. The Company may update these terms at its discretion and will publish such updates on the platform.

2. PLATFORM OVERVIEW

do N key operates a technology-based Software-as-a-Service (SaaS) platform designed to:

• Facilitate lead generation for Drivers.

• Connect users with Drivers who provide passenger transport services independently via auto-rickshaws (“Auto”) and cars (“Cab”).

Through the do N key platform, users can discover Drivers based on pick-up and drop-off locations and agree on ride fares directly with the Drivers. do N key acts only as a technology platform and does not directly offer ride or delivery services.

3. USER REQUIREMENTS AND RESPONSIBILITIES

i. Account Registration:

o To access the platform, you confirm you are at least 18 years of age.

o You must ensure that no legal, regulatory, or judicial authority restricts your use of the platform.

ii. Compliance with Laws:

o You agree to use the platform solely for lawful purposes and in compliance with these terms and applicable regulations.

iii. Fair Use:

o You must not misuse the platform for purposes beyond the intended services, including any activity that could disrupt or harm the experience of other users or the Drivers.

iv. Accuracy of Information:

o You are responsible for providing accurate and up-to-date information during registration and while availing services through the platform.

DISCLAIMER

• The Company provides the platform as a discovery tool and does not control or take responsibility for the services offered by Drivers, including safety, quality, or timeliness.

• Drivers are solely responsible for the services provided to users. Any disputes regarding ride fares, routes, or service quality must be resolved between the user and the Driver directly.

For any concerns, please contact the service provider or Driver associated with your request.

4. USER REGISTRATION ON THE PLATFORM

By using the do N key SAAS Platform, you authorize do N key Deliveries or its authorized third parties to collect, verify, and process your information as outlined in our Privacy Policy. Please review the Privacy Policy to understand how your information is collected, processed, and shared.

5. ACCOUNT CREATION AND RESPONSIBILITIES

i. Accurate Information:

o You must provide true, accurate, current, and complete information during registration.

o The accuracy of the information you provide is solely your responsibility.

ii. Account Security:

o You are responsible for maintaining the confidentiality of your credentials (username, password, etc.).

o Choose secure credentials to protect your information and account.

o Notify do N key immediately if you suspect unauthorized access to your account.

iii. Non-Transferability:

o Your account is personal and cannot be transferred, assigned, or sold to third parties.

o You must not authorize others to use your account.

iv. Responsibility for Actions:

o You accept responsibility for all activities conducted through your account.

o do N key is not liable for unauthorized access or breaches resulting from your actions or negligence.

v. Verification Requirements:

o We may require additional information or documents to verify your identity.

o Failure to provide the required information may result in suspension or termination of your account.

6. ACCESS TO SAAS PLATFORM

Once registered, you can use the do N key Platform to connect with Drivers, independent service providers who offer transportation or delivery services.

i. Discovery and Booking:

o Users can discover Driver for rides or deliveries based on chosen pick-up and drop-off locations.

o The platform may display an estimated fare range for guidance, based on market rates for the selected route and distance.

ii. Fare Negotiation:

o Users can quote an offer price for services through the platform.

o Driver have the option to accept or reject the proposed fare.

o Once a fare is agreed upon, the Rider provides the service directly to the user.

iii. Independent Transactions:

o All payments, refunds, and cancellations are transactions solely between the user and the Rider.

o do N key is not involved in these financial transactions and serves only as a technology platform.

iv. Platform Disclaimer:

o do N key is not responsible for the accuracy or reliability of estimated fares displayed on the platform.

7. GENERAL TERMS OF USE

i. Age Restriction:

o The platform is available only to individuals aged 18 years or older.

ii. Right to Modify or Discontinue Services:

o The Company reserves the right to modify, suspend, or terminate access to the platform at its discretion.

iii. User Accountability:

o Users must provide accurate and up-to-date contact details. Errors in provided information are the user’s responsibility.

8. FARE PAYMENT FOR RIDE AND DELIVERY SERVICES

When availing ride or delivery services through the do N key platform, you are required to settle the ride fare directly with the Driver.

The Driver may include applicable charges and taxes as part of the fare. All fare payments, refunds, or other financial settlements between you and the Driver are part of your direct contractual agreement with the Driver and fall outside the scope of the do N key platform’s responsibilities. The platform does not facilitate or mediate financial transactions between you and the Driver.

The Driver may issue an invoice or receipt for the ride or delivery service availed by you. However,

do N key will not issue or enable the issuance of invoices for these transactions.

Additionally, all charges, taxes, or fees as mandated by law, both current and future, will be applicable to these transactions.

9. CODE OF CONDUCT FOR PLATFORM USAGE

Your access to and use of the do N key platform must comply with applicable laws and regulations. Users are expected to adhere to the following guidelines to ensure smooth and lawful operations:

i. Appropriate Usage

o Use the platform only for lawful purposes. Avoid any activity that may harm or damage the platform, its users, or its reputation.

o Do not misuse the platform by causing nuisance, inconvenience, or engaging in fraudulent practices, such as creating duplicate accounts or falsifying documents.

ii. Technology Misuse

o Avoid using unauthorized devices, software, or programs that could disrupt the platform’s operations, including malware, bots, or scripts that overload or impair its functionality.

o Do not attempt to reverse engineer, copy, or exploit the platform’s features for unauthorized purposes.

iii. Fair Practices

o Do not host, upload, or transmit harmful or offensive content, including content that infringes intellectual property rights, promotes hatred, or violates public order and laws.

o Refrain from sharing false or misleading information, impersonating others, or promoting harmful activities.

iv. Prohibited Content

o The platform strictly prohibits content that incites violence, promotes enmity, or violates the unity and integrity of the nation.

o Any material that is harmful to children, infringes copyrights, or contains malicious software is strictly prohibited.

IMMEDIATE TERMINATION FOR POLICY VIOLATIONS

The do N key platform reserves the right to terminate or restrict access to users who fail to adhere to the outlined rules and regulations. Violations, including but not limited to fraudulent activities, misuse of technology, and inappropriate content sharing, will result in immediate action.

COMMUNICATION AND NOTIFICATIONS

You agree that do N key (either directly or indirectly through its Service Providers, affiliates, or third-party agents) may communicate with you regarding your use of the platform. This communication may occur in connection with emergencies involving safety or security situations through electronic methods such as push notifications, phone calls, WhatsApp messages, emails, or other written modes of communication.

10. Electronic Communication Acknowledgment

Any electronic communication will be considered received by you within 24 hours of it being sent (e.g., email, SMS, WhatsApp notification) in the context of emergencies or safety-related concerns. For postal communications, it will be assumed that you have received them within three business days of dispatch.

If you are a registered user of the do N key platform and have shared your contact information, you consent to the company and its authorized agents contacting you for relevant purposes, including safety and security concerns, through:

• Mobile phone or landline numbers you provide, use to contact the platform, or where we believe we can reach you.

• Email addresses associated with your platform account.

• Automated dialing systems, pre-recorded or artificial voice messages, and other forms of communication.

11. Communication Limitations

The clarity, accuracy, and timeliness of such communications depend on various factors, including but not limited to network conditions, user settings, and external technical constraints. do N key is not liable for non-delivery, delays, or distortions in communication with respect to services offered by Drivers.

12. DISCLAIMERS

do N key, as a platform provider, does not directly operate or provide ride or delivery services. It solely facilitates connections between users and independent Drivers (referred to as Service Providers). The company disclaims all representations, warranties, or guarantees regarding the reliability, quality, suitability, or timeliness of services accessed through the platform.

Platform Functionality and Services

The platform is provided “AS IS,” and do N key makes no guarantees that:

i. Access to the platform will be uninterrupted, error-free, or compatible with all systems.

ii. User requirements or expectations will be fully met.

iii. Stored data will be accurate or free from unauthorized access.

iv. Errors or technical issues will be promptly corrected.

v. The platform will be free of malware, viruses, or harmful components.

All implied warranties, including those of merchantability, fitness for a particular purpose, or non-infringement, are expressly disclaimed to the maximum extent permissible by law.

13. User Acknowledgment

As a user, you acknowledge that:

• The risk of accessing the platform or utilizing services rests solely with you.

• do N key is not responsible for the behavior, actions, or inactions of Drivers or the quality of services they provide.

• Any contractual or financial transactions, including payments for services, are exclusively between you and the Driver.

• "For clarity, do N key serves only as a discovery and connection platform, enabling lead generation and facilitating communication between Users and Drivers."

14. LIMITATIONS OF LIABILITY

do N key is not liable for damages or losses arising from:

1. Delays, failures, or errors in the operation or availability of the platform.

2. Interception or manipulation of communications by third parties.

3. External factors such as natural disasters, network outages, technical failures, or regulatory actions.

Access to the platform may be temporarily disrupted due to unforeseen circumstances, including but not limited to server or hardware issues, software errors, or external events beyond the company’s control. do N key will endeavor to provide uninterrupted access but does not guarantee it.

15. INTELLECTUAL PROPERTY RIGHTS

Ownership of Platform and Content

do N key is the sole owner and lawful licensee of all rights to its platform, website, and other digital media, including their contents such as design, layout, text, images, graphics, sounds, and videos. These materials embody trade secrets and intellectual property rights protected under worldwide copyright and other applicable laws. Except for third-party content and links, all titles, ownership, and intellectual property rights in the platform and its content remain with do N key.

The term "Intellectual Property Rights" includes but is not limited to:

• Patent rights and utility models

• Copyrights, database rights, and moral rights

• Trademarks, trade names, domain names, and associated goodwill

• Trade secrets

• Industrial design rights

This definition encompasses any registrations, applications, renewals, and extensions of the above rights in any jurisdiction worldwide. All related icons and logos are registered trademarks or service marks of do N key and are protected by applicable copyright, trademark, and other proprietary rights laws. Unauthorized copying, modification, use, or publication of these marks is strictly prohibited.

16. User License

Subject to compliance with these terms, do N key grants a limited, revocable, non-exclusive, non-transferable license to download and install a copy of the platform on a single mobile device for personal use during the term of these terms and conditions.

17. USER DATA

Ownership and Usage

All rights, title, and interest in the data or information input into the platform by the driver or user (collectively referred to as "User Information") remain with the user. do N key is granted a limited, non-exclusive, royalty-free license to use User Information for operating, maintaining, and improving the platform. Users are solely responsible for the accuracy, quality, integrity, and legality of their data.

Aggregated Statistics

do N key may compile anonymized statistical and performance data from User Information and inputs. These aggregated statistics, which do not identify individual users or drivers, belong solely to do N key and may be:

i. Made publicly available.

ii. Used for data gathering, service enhancement, analysis, and marketing.

18. DISCLAIMER

do N key is a platform provider and does not directly offer transportation services. Drivers are independent service providers who manage and control their business operations. do N key’s role is limited to facilitating a connection between users and drivers, with no responsibility for the behavior, actions, or service quality of the drivers or vehicles.

The platform and its content are provided "as is" without warranties or guarantees of any kind, including but not limited to:

• Accessibility, accuracy, or reliability.

• Freedom from errors, defects, viruses, or interruptions.

The responsibility for using the platform, its services, or data rests solely with the user.

19. THIRD-PARTY LINKS

While using the do N key SAAS Platform, you may come across third-party Drivers, advertisers, or sponsors promoting their goods and services through external links. These links are outside the control of the do N key company, which serves as a platform provider. You access these links entirely at your own discretion and risk.

Please note that these third-party websites may utilize cookies, collect data, or request personal information. We strongly advise you to review their terms of use and privacy policies before proceeding.

20. TERM AND TERMINATION

The Company reserves the right to terminate your access to the do N key SAAS Platform at any time, with immediate effect, under the following circumstances:

• (a) Violation or breach of these Terms.

• (b) Misuse of the Platform or the Service, in the Company’s opinion.

• (c) Evidence or suspicion of fraudulent activity on the account.

In addition to the above, the Company may terminate your access without providing a specific reason. Although prior notice of termination is not obligatory, a post-termination notification will be sent in accordance with these Terms.

Further, if your actions involve fraud, misuse of the SAAS Platform, or harm to the Company, its interests, or other users, the Company reserves the right to legally prosecute you.

21. INDEMNITY AND LIMITATION OF LIABILITY

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensees, and representatives from any claims, damages, or losses arising from:

• (i) Breach of these Terms.

• (ii) Misuse of the SAAS Platform.

• (iii) Third-party claims resulting from your use of the SAAS Platform.

The Company is not responsible for assessing the suitability, legality, or ability of any Driver providing services. You expressly release do N key from liability for any disputes, claims, or damages resulting from services rendered by Drivers. Decisions you make regarding services are solely your responsibility.

To the fullest extent permitted by law, the Company’s aggregate liability in connection with these Terms will not exceed INR 500/-.

22. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION

These Terms are governed by the laws of the Republic of India. Any disputes will be resolved as follows:

1. Efforts will first be made to resolve disputes amicably within 15 days of initiation.

2. If unresolved, disputes will be referred to arbitration under the Arbitration and Conciliation Act, 1996.

3. Arbitration proceedings will be conducted in Tamil or English in Madurai or Dindigul, India.

23. ASSIGNMENT

You may not assign your rights or obligations under these Terms without prior written approval. The Company may assign its rights and obligations without prior notice.

24. SEVERABILITY

If any provision of these Terms is deemed invalid or unenforceable, that provision will be severed. The remainder of the Terms will continue to be binding and effective.

25. CHANGES TO THESE TERMS

The Company reserves the right to modify these Terms. Material changes will be communicated, but it remains your responsibility to review updates. Continued use of the SAAS Platform after modifications indicates acceptance of the updated Terms.

26. NOTICES

The Company may send notices through general announcements on the Platform, email, or postal mail as per your registered contact details.

do N key reserves the right to change terms and conditions to maintain the smooth operation of the business and platform.

For Offline Rides: If you are taking an offline ride directly with the rider/driver, do N key Deliveries and the Service Provider are not responsible for your safety or the product. This is because the transaction is occurring outside our business framework.
